Morristown-based law firm Riker Danzig LLP recently represented Crum & Forster in its Accident & Health Division’s acquisition of Partners Managing General Underwriters LLC, a medical stop-loss insurance underwriter.
The merger was effective as of Feb. 21.
Riker Danzig’s corporate team structured the deal as a forward triangular merger between the target company and a newly formed subsidiary of Crum & Forster’s main operating entity, United States Fire Insurance Co., to best accomplish the parties’ desired tax and other business goals.
Riker Danzig Partner Jason Navarino, head of the firm’s Corporate Group, and counsel Hannah Greendyk led the deal team, which included associate Arda Mary Setrakian on corporate issues, Partner Wendi Opper Uzar on intellectual property issues, Partner Joshua Greenfield on real estate lease issues and Partner Adam McInerney on employment and employee benefits matters. Navarino and Greendyk also advised Crum & Forster on related tax matters.
